Mentor Terms & Conditions

These Mentor Terms & Conditions ("Mentor Terms") govern your application to, registration with and provision of consultation services through the Upmentor platform.
By applying to become a Mentor, creating a Mentor profile, accepting a consultation or providing a consultation through Upmentor, you agree to these Mentor Terms.
1. About Upmentor
Upmentor is a technology platform that connects students, parents and other users with individuals who have relevant educational, examination or institutional experience.
Approved Mentors may provide paid consultations to Customers through the Platform.
Upmentor facilitates the connection, booking, payment and related technology.
Unless expressly stated otherwise, Mentors are independent service providers and are not employees, partners, agents or representatives of Upmentor.
2. Eligibility to Become a Mentor
To become a Mentor, you must satisfy Upmentor's eligibility requirements.
Depending on the category, Upmentor may require you to demonstrate:
- identity;
- educational institution;
- examination qualification;
- examination rank or percentile;
- academic achievements;
- professional qualifications;
- relevant experience; or
- other information relevant to the Mentor category.
Upmentor has the right to approve or reject Mentor applications based on its verification and onboarding criteria.
3. Accurate Information
You must provide accurate, complete and current information.
You must not falsely claim:
- that you studied at an institution;
- that you qualified an examination;
- a particular rank or percentile;
- an academic achievement;
- a professional qualification;
- an association with an institution; or
- any other achievement or credential.
You must immediately inform Upmentor if information previously submitted becomes inaccurate or outdated.
Providing false information may result in immediate suspension or termination.
4. Verification
Upmentor may verify your:
- identity;
- photograph;
- educational institution;
- examination results;
- rank;
- percentile;
- admission status;
- academic qualifications; and
- other information relevant to your profile.
You may be required to provide supporting documents.
Upmentor may use reasonable methods to verify information.
A verification badge means that the information has been checked according to Upmentor's applicable verification process. It does not constitute a guarantee by Upmentor regarding your future conduct, performance or advice.
5. Mentor Profile
You are responsible for ensuring that your Mentor profile is accurate.
Your profile may contain:
- name;
- photograph;
- educational institution;
- examination information;
- rank/percentile;
- academic information;
- areas of expertise;
- biography;
- consultation topics;
- availability;
- pricing; and
- other relevant information.
You must not include misleading, fraudulent, offensive or unlawful information.
Upmentor may edit formatting, remove prohibited content or request changes to your profile.
6. Consultation Services
Mentors may provide consultations regarding topics such as:
- examination preparation;
- study schedules;
- preparation strategy;
- revision methods;
- mock tests;
- books and study resources;
- coaching experiences;
- college life;
- academic experiences;
- career experiences; and
- other topics approved by Upmentor.
Mentors must provide advice based on their genuine knowledge and experience.
Mentors must not knowingly provide false or misleading information.
7. No Guaranteed Results
Mentors must not guarantee that a Customer will:
- clear an examination;
- achieve a specific rank;
- obtain a specific percentile;
- obtain admission;
- obtain a scholarship;
- secure employment; or
- achieve any other specific result.
Statements such as "100% guaranteed selection" or "guaranteed IIT admission" must not be made.
Mentors should clearly distinguish personal experience from official examination or admission information.
8. Professional Conduct
Mentors must treat Customers respectfully and professionally.
Mentors must not:
- harass or threaten Customers;
- use discriminatory language;
- make sexual or inappropriate comments;
- exploit Customers;
- pressure Customers to purchase unrelated services;
- manipulate Customers;
- provide illegal services;
- request inappropriate personal information;
- engage in inappropriate relationships with minors;
- encourage Customers to conceal communications from parents or guardians; or
- engage in any behaviour that could reasonably compromise Customer safety.
9. Interaction With Minors
Mentors may interact with school-age students through Upmentor.
Mentors must maintain appropriate professional boundaries at all times.
Mentors must not:
- request inappropriate photographs;
- make sexual or suggestive comments;
- engage in inappropriate private communication;
- encourage secrecy from parents or guardians;
- arrange inappropriate private meetings;
- exploit a minor;
- solicit personal information unrelated to the consultation; or
- use the relationship for personal or commercial exploitation.
Any violation may result in immediate suspension or termination and may be reported to the appropriate authorities where required by law.
10. Consultation Attendance
Mentors must attend confirmed consultations on time.
Mentors are expected to provide the full consultation duration purchased by the Customer, subject to the Platform's rules.
Mentors should notify Upmentor as early as reasonably possible if they cannot attend.
Repeated cancellations or no-shows may result in:
- reduced visibility;
- temporary suspension;
- cancellation of future bookings;
- withholding of applicable payments; or
- termination.
11. Consultation Quality
Mentors are expected to:
- prepare appropriately;
- listen to Customer questions;
- provide useful and relevant guidance;
- communicate respectfully;
- avoid intentionally misleading statements; and
- make reasonable efforts to provide the service described in their profile.
Upmentor may review Customer feedback, ratings and complaints to maintain Platform quality.
12. Mentor Fees and Payouts
Mentor earnings will be determined according to the commercial terms communicated by Upmentor.
Upmentor may retain a platform fee, commission or other applicable amount before paying the Mentor.
The Mentor's applicable payout rate, commission structure and payment schedule may be communicated separately during onboarding or through the Mentor dashboard.
Payments may be subject to:
- applicable taxes;
- statutory deductions;
- payment-processing charges;
- refunds;
- chargebacks;
- cancellations; and
- other adjustments permitted under the applicable agreement or law.
13. Taxes
Mentors are responsible for complying with their applicable tax obligations relating to income earned through Upmentor.
Where Upmentor is legally required to deduct or withhold tax, it may do so.
Mentors are responsible for providing accurate tax and payment information where required.
14. Cancellation and No-Show
Mentors should avoid cancelling confirmed consultations except where reasonably necessary.
If a Mentor repeatedly cancels or fails to attend consultations, Upmentor may take corrective action.
Where a Mentor's cancellation results in a Customer refund, Upmentor may adjust the Mentor's applicable payout where permitted under the commercial terms.
15. Off-Platform Transactions
Mentors must not intentionally move Customers away from Upmentor to avoid Platform fees or protections.
Mentors must not ask Customers to pay directly through:
- UPI;
- cash;
- bank transfer;
- personal payment links; or
- another payment method
for a consultation that originated through Upmentor where doing so circumvents the Platform.
Mentors must not use the Upmentor Platform primarily to obtain Customers and then redirect those Customers to private paid services without Upmentor's permission.
Violation may result in immediate suspension or termination.
16. Customer Information
Mentors may receive limited Customer information necessary to conduct a consultation.
Mentors must:
- use Customer information only for legitimate consultation purposes;
- keep Customer information confidential;
- not sell or share Customer information;
- not use Customer information for unrelated marketing;
- not contact Customers outside authorised channels for inappropriate purposes; and
- securely handle information received through Upmentor.
Mentors must not retain Customer personal information longer than reasonably necessary.
17. Confidentiality
Mentors must respect confidential information shared by Customers during consultations.
Mentors must not publicly disclose a Customer's:
- name;
- contact details;
- academic information;
- personal circumstances;
- photographs;
- private questions;
- recordings; or
- other confidential information
without appropriate permission or lawful authority.
This obligation continues after the Mentor stops using Upmentor.
18. Recording
Mentors must not independently record consultations unless permitted by Upmentor and applicable law.
Mentors must not publish, sell, distribute or share recordings or screenshots of Customers without appropriate permission.
Where Upmentor records consultations, applicable recording practices will be governed by Upmentor's policies and applicable law.
19. Intellectual Property
Mentors retain ownership of original material they independently create, subject to rights granted to Upmentor under these Terms.
By providing photographs, biographies, videos, profile information, testimonials or promotional material to Upmentor, you grant Upmentor a non-exclusive, worldwide, royalty-free licence to use, reproduce, display, distribute and promote such material in connection with operating and marketing Upmentor.
You confirm that you have the necessary rights to provide such material.
20. Mentor Content
Mentors must not upload content that:
- infringes copyright;
- infringes trademarks;
- violates privacy rights;
- contains unlawful material;
- contains malicious software;
- is intentionally misleading; or
- violates these Terms.
Upmentor may remove content that violates these requirements.
21. Intellectual Property of Third Parties
Mentors must respect the intellectual property of educational institutions, examination authorities, publishers, coaching institutes and other third parties.
Mentors must not upload or distribute copyrighted material without appropriate permission.
For example, Mentors must not distribute unauthorised copies of paid books, proprietary coaching material or examination content.
22. Reviews and Ratings
Customers may rate or review Mentors.
Mentors must not:
- create fake reviews;
- ask people to create fraudulent reviews;
- threaten Customers over negative reviews;
- manipulate ratings;
- offer inappropriate incentives for positive reviews; or
- retaliate against Customers for genuine criticism.
Upmentor may investigate complaints relating to reviews.
23. Promotional Conduct
Mentors must not use Upmentor primarily to advertise unrelated businesses, courses, coaching services, products or personal commercial services without Upmentor's permission.
Mentors must disclose any relevant commercial interest when recommending a product, course, coaching service or other paid resource.
24. Relationship With Upmentor
Mentors are independent service providers unless a separate written agreement states otherwise.
Nothing in these Terms creates:
- an employment relationship;
- partnership;
- joint venture;
- agency;
- franchise; or
- fiduciary relationship
between the Mentor and Upmentor.
Mentors have no authority to bind Upmentor or make commitments on Upmentor's behalf.
25. Platform Rules
Mentors must comply with:
- these Mentor Terms;
- Upmentor's Privacy Policy;
- Refund & Cancellation Policy;
- Community Guidelines;
- applicable payment rules;
- applicable law; and
- reasonable instructions issued by Upmentor concerning Platform safety and operation.
26. Account Security
Mentors must keep their login credentials secure.
Mentors must not share their Mentor account with another person.
A Mentor must not allow another individual to conduct consultations using the Mentor's profile unless expressly authorised by Upmentor.
27. Suspension
Upmentor may temporarily suspend a Mentor account where it reasonably believes that:
- a policy violation has occurred;
- false qualifications have been submitted;
- Customer safety may be at risk;
- fraudulent activity is suspected;
- repeated cancellations occur;
- payment abuse occurs;
- off-platform transactions are being encouraged; or
- investigation is required.
Where appropriate, Upmentor may request additional information before restoring the account.
28. Termination
Upmentor may terminate a Mentor account where the Mentor:
- provides fraudulent information;
- repeatedly violates Platform rules;
- engages in serious misconduct;
- abuses Customers;
- engages in inappropriate conduct involving minors;
- circumvents Platform payments;
- misuses Customer information;
- infringes intellectual property rights;
- engages in unlawful activity; or
- otherwise materially breaches these Terms.
A Mentor may request closure of their account subject to outstanding consultations and obligations.
29. Effect of Termination
After termination:
- the Mentor may no longer accept new consultations;
- future bookings may be cancelled;
- outstanding amounts may be processed subject to applicable policies;
- confidentiality obligations continue;
- intellectual property obligations continue; and
- other provisions that are intended to survive termination will continue.
30. Platform Availability
Upmentor does not guarantee uninterrupted Platform availability.
Temporary interruptions may occur because of:
- maintenance;
- software updates;
- technical failures;
- internet problems;
- third-party services;
- cybersecurity incidents;
- force majeure; or
- circumstances outside Upmentor's reasonable control.
31. Limitation of Liability
To the maximum extent permitted by applicable law, Upmentor will not be liable for indirect or consequential losses arising from a Mentor's consultation or Customer decisions.
Nothing in these Terms excludes liability that cannot legally be excluded.
32. Indemnification
To the extent permitted by applicable law, the Mentor agrees to indemnify and hold harmless Upmentor and its directors, officers, employees and authorised representatives from claims, losses, liabilities and expenses arising from:
- the Mentor's breach of these Terms;
- false or fraudulent qualifications;
- unlawful conduct;
- infringement of third-party rights;
- misuse of Customer information;
- Mentor Content; or
- misconduct during a consultation.
33. Governing Law
These Mentor Terms are governed by the laws of India.
Subject to applicable law, disputes shall be subject to the jurisdiction of the competent courts/tribunals at [CITY, STATE, INDIA].
34. Changes to Mentor Terms
Upmentor may update these Mentor Terms from time to time.
Material changes may be communicated through the Platform or other appropriate channels where required.
Continued use of the Mentor Platform after the updated Terms become effective constitutes acceptance of the revised Terms, subject to applicable law.
